Welcome to the SoldSimple Affiliate Program! These Terms and Conditions ("Terms") govern your participation in the program. By joining and participating in the SoldSimple Affiliate Program, you agree to be bound by these Terms. Please read them carefully.

1. DEFINITIONS

SoldSimple: Refers to SoldSimple, the merchant and advertiser of the products and services offered.

Affiliate: Refers to the individual or entity participating in the SoldSimple Affiliate Program.

Program: Refers to the SoldSimple Affiliate Program.

2. ENROLLMENT AND PARTICIPATION

• To participate in the Program, you must complete the application process and be approved by SoldSimple.
• SoldSimple reserves the right to refuse membership or terminate participation in the Program at its sole discretion.
• You are responsible for ensuring that your account information is accurate and up-to-date.

3. AFFILIATE OBLIGATIONS

• As an Affiliate, you agree to promote SoldSimple’s products and services in a responsible and ethical manner.
• You must comply with all applicable laws, regulations, and SoldSimple's policies, including advertising guidelines.
• You are solely responsible for the content and manner of your marketing activities.

4. COMMISSION AND PAYMENT

• You will earn a commission of [percentage]% for each valid [sale] generated directly through your unique affiliate link.
• Commissions are paid on a [monthly] basis via Shopify Collabs, subject to a minimum payout threshold of [amount].
• SoldSimple reserves the right to withhold or adjust commission payments in cases of fraud, suspected fraud, or violation of these Terms.
• You are responsible for all applicable taxes related to your commission earnings.

5. TRACKING AND REPORTING

• SoldSimple uses Shopify Collabs to track affiliate sales and provide reporting.
• You will have access to reports detailing your performance and commission earnings.
• SoldSimple’s tracking and reporting data is the official record of affiliate sales.

6. INTELLECTUAL PROPERTY

• SoldSimple grants you a limited, non-exclusive, non-transferable license to use SoldSimple’s trademarks and logos solely for the purpose of promoting SoldSimple’s products and services within the Program.
• You may not alter or modify SoldSimple’s trademarks or logos in any way.
  All intellectual property rights in SoldSimple’s trademarks, logos, and marketing materials remain the sole property of SoldSimple.

7. TERM AND TERMINATION

• These Terms are effective upon your enrollment in the Program and continue until terminated.
• SoldSimple may terminate your participation in the Program at any time, with or without cause, upon written notice.
• You may terminate your participation in the Program at any time by providing written notice to SoldSimple.
• Upon termination, all rights granted to you under these Terms will immediately cease, and you must cease all promotional activities related to SoldSimple.
• Any outstanding commissions earned prior to termination will be paid in accordance with these Terms, subject to any deductions or offsets.

8. LIMITATION OF LIABILITY

• SoldSimple will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your participation in the Program.
• SoldSimple’s total liability under these Terms will not exceed the total amount of commissions paid to you during the [period] preceding the event giving rise to the liability.

9. INDEMNIFICATION

You agree to hold SoldSimple harmless from any claims or damages arising from your participation in the Program, including any violation of these Terms.

10. MODIFICATIONS

• SoldSimple reserves the right to modify these Terms at any time by posting the revised Terms on its website.
• Your continued participation in the Program after the posting of revised Terms constitutes your acceptance of the revised Terms.

11. GOVERNING LAW

These Terms will be governed by and construed in accordance with the laws of Hong Kong.

6. 智慧財產權

• SoldSimple 授予您有限的、非獨佔的、不可轉讓的許可，僅為在本計畫內推廣
• SoldSimple 的產品和服務之目的使用 SoldSimple 的商標和標誌。
  
• 您不得以任何方式更改或修改 SoldSimple 的商標或標誌。
  
• SoldSimple 商標、標誌和行銷材料中的所有智慧財產權均為 SoldSimple 的唯一財產。

7. 期限與終止

• 這些條款在您註冊本計畫後生效，並持續有效，直至終止。
• SoldSimple 可以隨時以書面通知終止您參與本計畫，無論是否出於原因。
• 您可以隨時向 SoldSimple 發出書面通知終止您參與本計畫。
• 終止後，根據這些條款授予您的所有權利將立即終止，您必須停止所有與 SoldSimple 相關的推廣活動。
• 在終止之前賺取的任何未付佣金將根據這些條款支付，但須遵守任何扣除或抵銷。

8. 責任限制
